Terms of Use
Article 1 Purpose
These terms and conditions are for using the Internet service provided by the EVERSPIN site (https://spring) operated by Everspin Co., Ltd. (hereinafter referred to as the Company). Its purpose is to stipulate the rights and obligations and other necessary matters between the company and service users (hereinafter referred to as users).
Second Article Definitions
  1. The company refers to Everspin, Inc.
  2. The EVERSPIN site is a website operated by the company to provide and use services (https://spring).
  3. Users refers to members and non-members who access the EVERSPIN site and receive services in accordance with these terms and conditions.
  4. Members means A person who has registered as a member of the EVERSPIN site and can continue to use the service.
  5. A non-member refers to a person who uses the service without registering as a member.
Clarification, explanation and revision of Article 3 Terms and Conditions
  1. The 'Company' shall post the contents of these terms and conditions on the 'EVERSPIN Site' so that the user can be aware of them.
  2. Within the scope not violating the laws and regulations related to the regulation of these terms and conditions, the Act on Promotion of Information and Communications Network Utilization and Information Protection, etc., the 'Company' may revise these terms and conditions.
  3. When the 'Company' revises these terms and conditions, it shall notify the user on the 'EVERSPIN Site' 7 days before the effective date, specifying the date of application and the reason for the revision.
  4. If the 'User' does not explicitly express their intention to refuse the revision of these terms and conditions until the effective date of the revised terms and conditions or uses the service after the revision, they shall be deemed to have agreed to the revised terms and conditions. If the 'User' does not agree to the revised terms and conditions, the use of the service provided by the 'EVERSPIN Site' may be restricted or suspended.
Provision and Limitations of Article 4 Services
  1. The 'Company' provides services to 'Users'.
  2. Users must always comply with relevant laws and regulations, including the terms and jurisdiction of residence or service use, while using the service, and cannot use all or part of the service for purposes such as processing, replicating, copying, or reselling.
  3. The 'Company' may change or temporarily suspend or terminate the provision of all or part of the service without prior notice or notification according to its own independent judgment at any time.
  4. The 'Company' makes reasonable efforts to ensure that the service is provided to the 'User' without unjustified interruption, failure, or delay, and to minimize service interruption, failure, or delay.
  5. The 'Company' may temporarily restrict or suspend the provision of the service or part of it in case of a national emergency, power outage, failure of service facilities or service congestion, IT infrastructure restrictions, other force majeure events, or due to necessary circumstances of the Company.
  6. The 'Company' provides services to individuals who are 19 years of age or older.
Article 5 Membership and Restrictions
  1. 'User' applies for membership by filling in member information according to the registration form provided by the 'Company' and expressing agreement to this agreement.
  2. The 'Company' may limit or reject approval of a membership application in the following cases:
    1. If there are false, missing, or incorrect details in the application
    2. If the application is not made under the user's real name or using someone else's name
    3. If the application is made for the purpose of disrupting social order, public morals, or customs
    4. If the user's ID (e-mail) is already registered
    5. If the application violates this agreement, is illegal, or is deemed necessary by the 'Company' through reasonable judgment
    6. If the user fails to meet other application requirements set by the 'Company'
  3. If there are any changes to the information registered at the time of membership registration, the 'Member' must notify the changes through methods such as modifying their membership information within a reasonable period of time.
Article 6 Membership Withdrawal and Loss of Qualification
  1. Users can apply for membership withdrawal through the EVERSPIN website.
  2. If a user applies for membership withdrawal, the provision of services currently in use through the EVERSPIN website will be immediately discontinued.
  3. The company may terminate membership or suspend the use of services without prior notice if any of the following apply:
    1. The user has stolen personal information, ID, or password of others.
    2. The user registered under a false name.
    3. The user has committed acts that damage the reputation or cause harm to others.
    4. The user intends to use the services to undermine national interests or social welfare or has executed such acts.
    5. The user intentionally obstructs service operation.
    6. The user has infringed upon the intellectual property rights of the company, other members, or third parties.
    7. The user violates relevant laws, these Terms and Conditions, or other usage conditions established by the company, or engages in acts that violate public morals.
    8. The company determines that it is necessary to suspend or restrict service use due to its policies, external factors, technical factors, or other circumstances.
Article 7 Member ID and password obligations
  1. The management responsibility for ID and password belongs to the 'member'.
  2. The 'member' should not allow a third party to use their ID and password.
  3. If the 'member' is aware that their ID and password have been stolen or used by a third party, they must immediately notify the 'company' and follow the instructions of the 'company' if there are any.
Article 8 Privacy
The ‘company’ does its best to protect the personal information of ‘users’. How the ‘Company’ protects and handles personal information when using the ‘User’ service can be found in the ‘Company’ Privacy Policy.
Article 9 Dispute Resolution
  1. Only the terms and conditions shall apply to the legal relationship between the 'Company' and the 'User'. Any statement or agreement made directly or indirectly, whether made or concluded elsewhere, shall not be binding on the 'Company' unless explicitly confirmed in writing to the 'User'.
  2. The relationship between the 'User' and the 'Company' under these terms and conditions shall be governed by the laws of the Republic of Korea, regardless of international legal regulations. In the event of any dispute arising from the use of the service, the parties shall first seek to resolve the dispute through mutual consultation, and if the dispute is not resolved, the court with jurisdiction over the location of the 'Company' headquarters shall have exclusive jurisdiction.
Termsofservice
These Terms and Conditions are effective from April 30, 2022.
The previous Terms and Conditions will be replaced by these Terms and Conditions, and ‘members’ prior to the application date of the revised Terms and Conditions will also be subject to the revised Terms and Conditions.
